SBI Holdings Inc, parent of Specialty Brands Inc, has reached agreement to be acquired by Windsor Quality Food Company Ltd. The acquisition is expected to be complete by the end of 2004; terms of the transaction were not disclosed.

Specialty Brands, with headquarters in Ontario CA, produces, processes, and markets frozen food products, including frozen hand-held Mexican appetizers and entrees, frozen-filled pasta, and coated appetizers. Its brands include Jose Ole, Fred's for Starters, Rotanelli's, Marquez, Posada, Little Juan, and Butcher Boy.

A manufacturer and marketer of specialty frozen foods, Windsor was formed in January 1996 after the acquisition of the frozen food companies formerly owned by the Keebler Co. Windsor operates five United States Department of Agriculture-approved manufacturing facilities and provides products to the foodservice, retail, and industrial markets.
